We primarily supply business customers, wholesalers, retailers, distributors, and other commercial buyers.
Minimum Order Quantity
The standard minimum order quantity is 200 pieces and may be mixed across eligible products, unless otherwise stated in the quotation.
Quotation Required
Product specifications, prices, availability, shipping costs, and delivery terms are confirmed in the written quotation or Proforma Invoice.
Payment Terms
Payment is made by T/T bank transfer according to the payment instructions stated in the applicable Proforma Invoice, unless another method is expressly agreed in writing.
Welcome to Huanmao Trading. These Terms of Service (“Terms”) govern your access to and use of the website located at https://zghello.com (the “Website”) and the B2B wholesale services provided through or in connection with the Website.
Huanmao Trading is the business name used by 义乌市寰茂贸易商行(个体工商户) (the “Seller”, “Huanmao Trading”, “we”, “us”, or “our”).
These Terms apply to product inquiries, quotation requests, quotations, Proforma Invoices, wholesale orders, payments, production, sourcing, OEM/ODM services, shipping arrangements, communications, and after-sales matters.
By accessing or using the Website, submitting an inquiry, requesting a quotation, or placing an order with us, you acknowledge that you have read and understood these Terms.
If specific terms contained in a written quotation, Proforma Invoice, purchase agreement, or other written agreement issued or accepted by us conflict with these Terms, the specific written terms applicable to that transaction shall take precedence to the extent of the conflict.
1Acceptance of Terms
Your use of the website and authority to act on behalf of a business.
1.1By accessing or using the Website, you agree to comply with these Terms and all laws and regulations applicable to your use of the Website.
1.2If you submit an inquiry, request a quotation, provide business information, or communicate with us regarding a potential transaction, these Terms may apply to that interaction where relevant.
1.3If you are acting on behalf of a company, store, organization, distributor, retailer, wholesaler, or other business, you represent that you are authorized to communicate and transact on its behalf.
1.4If you do not agree with these Terms, you should not use the Website to conduct transactions with us.
2Business Scope and Eligibility
Our B2B wholesale services and the customers we serve.
2.1Huanmao Trading primarily operates as a B2B wholesale supplier of squishy toys, stress-relief toys, novelty toys, and related products.
2.2Our Website and quotation process are primarily intended for wholesalers, retailers, distributors, importers, online sellers, stores, commercial buyers, and other business customers.
2.3We may request business or contact information reasonably necessary to prepare a quotation, verify an order, arrange payment, prepare commercial documents, or organize shipment.
2.4We reserve the right to decline an inquiry or order where the requested transaction is unlawful, commercially impractical, suspected of fraud, involves prohibited products or intellectual property, or presents unacceptable compliance or payment risks.
3Product Information and Availability
Product specifications, reasonable variations, availability and documentation.
3.1We make reasonable efforts to keep product descriptions, photographs, dimensions, materials, colors, weights, packaging information, and specifications accurate.
3.2Product photographs and digital representations are provided for reference. Actual products may show minor reasonable differences in color, texture, softness, printing, packaging, dimensions, weight, finish, or appearance because of production batches, manufacturing tolerances, material characteristics, lighting, photography, or screen settings.
3.3Minor variations that do not materially affect the product's intended function or agreed commercial specification will not automatically constitute a product defect.
3.4Nothing in this section limits the Buyer's right to raise a legitimate claim regarding materially defective goods, incorrect products, significant shortages, or material non-conformity with the confirmed written specification.
3.5Product availability may change. Products displayed on the Website are not guaranteed to remain continuously available.
3.6Product specifications, packaging, MOQ, availability, pricing, and delivery terms are ultimately confirmed through our quotation, Proforma Invoice, or other written order confirmation.
3.7Any certification, testing report, safety documentation, or regulatory statement applies only where expressly identified for the specific product, batch, or order.
4Quotations and Orders
An inquiry is not an order. Written confirmation and payment conditions apply.
4.1Submitting a website inquiry, adding products to a Quote List, contacting us by WhatsApp or email, or requesting pricing does not by itself create a binding order.
4.2A quotation is an offer of commercial terms for discussion and confirmation and is subject to availability, final quantities, shipping destination, shipping method, and other transaction details.
4.3Unless otherwise stated, quotations may be revised if quantities, specifications, destination, shipping method, raw material cost, freight cost, exchange rate, or other relevant circumstances change before order confirmation.
4.4The Buyer is responsible for reviewing product names, product specifications, quantities, colors, packaging requirements, shipping address, prices, freight charges, payment instructions, and other details before approving an order.
4.5An order is normally considered confirmed when the applicable quotation or Proforma Invoice has been accepted and the required payment condition stated in the applicable documents has been satisfied.
4.6We may request additional written confirmation where an order contains customized products, special packaging, artwork, private labels, multiple shipping addresses, or other special requirements.
4.7Verbal or informal discussions do not override the final written quotation, Proforma Invoice, order confirmation, or other mutually accepted written transaction document.
5Pricing and Currency
USD quotations, product costs, freight and applicable charges.
5.1Unless otherwise expressly stated, prices are quoted in United States Dollars (USD).
5.2Product cost and shipping cost may be quoted separately.
5.3The total amount payable is the amount stated in the applicable quotation or Proforma Invoice.
5.4Prices shown on the Website, where applicable, may be indicative and do not necessarily constitute a final binding quotation.
5.5Freight charges are calculated based on factors that may include shipment weight, volumetric weight, carton dimensions, shipping method, destination, delivery conditions, fuel surcharges, remote-area charges, customs requirements, and carrier pricing.
5.6Where freight cost changes materially before final order confirmation, we may provide an updated quotation.
5.7Import duties, customs charges, sales tax, VAT, local taxes, brokerage charges, storage charges, or other destination-country charges are not included unless the quotation or Proforma Invoice expressly states that they are included.
6Minimum Order Quantity
Generally 200 pieces; eligible mixed orders are subject to confirmation.
6.1Our standard minimum order quantity is generally 200 pieces.
6.2Eligible products may be mixed to meet the minimum order quantity where expressly accepted by us.
6.3Individual products, customized products, special packaging, OEM/ODM projects, or certain production batches may be subject to different minimum order quantities.
6.4The MOQ applicable to a specific transaction will be confirmed in the quotation or Proforma Invoice.
6.5Sample quantities and trial orders, when offered, may be subject to separate pricing and shipping terms.
7Payment Terms
T/T bank transfer according to the applicable Proforma Invoice.
7.1Unless otherwise expressly stated in the applicable Proforma Invoice or written agreement, payment is made by T/T bank transfer.
7.2The Buyer must make payment strictly in accordance with the beneficiary information, bank information, intermediary bank information where applicable, currency, and payment instructions stated in the applicable Proforma Invoice.
7.3The Buyer should carefully verify payment details before initiating a transfer.
7.4We will not be responsible for funds sent to an incorrect account where the Buyer fails to follow the payment instructions issued by us.
7.5Unless otherwise agreed in writing, bank transfer charges, correspondent bank fees, intermediary bank fees, and the Buyer's bank charges are borne by the Buyer.
7.6The Buyer should send the bank transfer receipt, remittance advice, or other reasonable payment confirmation after completing the transfer so that payment can be verified.
7.7An order may not enter production, preparation, reservation, or shipment processing until the required payment has been verified.
7.8Payment terms may vary by transaction. Any alternative payment schedule expressly stated in a Proforma Invoice or written agreement will apply to that transaction.
7.9The availability of any payment method other than T/T bank transfer must be expressly confirmed by us. The existence of any third-party payment service, payment logo, or payment discussion does not mean that a payment method is available unless it is expressly offered for the applicable order.
8Order Changes and Cancellations
Changes and cancellations require written acceptance and may involve incurred costs.
8.1Requests to change quantities, colors, specifications, packaging, shipping address, shipping method, or other order details must be submitted as early as possible.
8.2Requested changes are subject to our written acceptance.
8.3Once materials have been purchased, production has started, goods have been customized, packaging has been printed, products have been reserved, or shipment has been arranged, changes or cancellations may no longer be possible.
8.4Where we agree to a cancellation after costs have already been incurred, the Buyer may be responsible for reasonable non-recoverable costs.
8.5Customized, private-label, OEM, ODM, specially manufactured, or specially packaged goods may not be cancellable or returnable after production has started except where otherwise required by applicable law or agreed in writing.
9Production and Lead Time
Estimated preparation and dispatch times depend on the confirmed order.
9.1Production, preparation, and dispatch times are estimates unless expressly guaranteed in writing.
9.2For many standard orders, we generally aim to arrange shipment within approximately seven days after order confirmation and verification of the required payment, subject to product availability and production requirements.
9.3Customized products, large-volume orders, special packaging, peak seasons, material shortages, quality inspections, public holidays, or other production circumstances may require additional time.
9.4Any stated production or dispatch date is an estimate unless the applicable quotation, Proforma Invoice, or written contract expressly states that it is guaranteed.
10Shipping, Delivery and Customs
Shipping arrangements, estimated delivery times and customs responsibilities.
10.1We may arrange shipment by sea, air, express courier, freight forwarder, or other agreed logistics method.
10.2Shipping method, freight charge, service level, destination, and any applicable delivery terms will be stated or confirmed in the quotation or Proforma Invoice.
10.3Where door-to-door, DDP, or another specific logistics service is expressly quoted, the responsibilities included in that service will be determined by the written quotation and shipping arrangement.
10.4Estimated shipping times are provided for planning purposes only.
10.5For certain sea shipments to the United States, transportation may take approximately 22 days and total estimated door-to-door time may be approximately 25–30 days under normal conditions.
10.6These times are estimates, not guaranteed delivery dates.
10.7Shipping may be delayed by customs inspections, port congestion, carrier schedules, weather, peak seasons, strikes, government actions, security inspections, destination delivery issues, force majeure events, or other circumstances outside our reasonable control.
10.8The Buyer must provide a complete and accurate shipping address, recipient name, telephone number, postal code, and any other information reasonably required for delivery.
10.9The Buyer is responsible for losses, additional charges, or delays caused by incorrect or incomplete delivery information supplied by the Buyer.
10.10Import procedures, duties, taxes, customs clearance obligations, and local compliance requirements are the Buyer's responsibility unless the applicable quotation expressly states that such services or charges are included.
10.11Risk allocation, customs responsibility, and delivery responsibility may also be governed by any Incoterm or logistics term expressly stated in the quotation, Proforma Invoice, or shipping document.
11Inspection, Claims and After-Sales
Inspection, supporting evidence and remedies for legitimate claims.
11.1The Buyer should inspect the goods promptly after receipt.
11.2If there is a suspected shortage, incorrect product, material defect, shipping damage, or material non-conformity, the Buyer should notify us as soon as reasonably possible.
11.3Unless another claim period is stated in the applicable transaction documents, we recommend that claims be submitted within seven calendar days after delivery.
11.4A claim should include reasonable supporting evidence such as:
- order number or Proforma Invoice number;
- affected product and quantity;
- photographs;
- videos where appropriate;
- carton photographs;
- shipping label;
- detailed description of the issue.
11.5The Buyer should preserve the affected goods and original packaging until the claim has been reviewed where reasonably possible.
11.6Depending on the nature and evidence of the claim, an appropriate solution may include replacement goods, replacement parts, credit, refund, price adjustment, or another mutually agreed remedy.
11.7No return should be sent without our prior written authorization.
11.8Minor manufacturing variations that fall within the agreed product specification do not automatically qualify as defects.
11.9Claims caused by misuse, improper storage, unauthorized modification, abnormal handling, resale damage, or damage occurring after delivery may not be eligible for compensation.
12OEM/ODM and Intellectual Property
Customization, design approvals and authorization to use intellectual property.
12.1We may provide OEM/ODM, private-label, custom packaging, custom color, design, logo, or other customization services where agreed.
12.2The Buyer is responsible for ensuring that it has all necessary rights, permissions, licenses, and authorizations to use any trademark, logo, character, artwork, design, packaging, text, photograph, or other intellectual property supplied to us.
12.3By providing intellectual property or design materials to us, the Buyer represents that our use of those materials for the agreed order will not infringe the rights of any third party.
12.4We may refuse any customization request where we reasonably believe that the requested design or branding may be unlawful, infringing, misleading, prohibited, or unauthorized.
12.5We do not grant the Buyer any ownership rights in third-party intellectual property.
12.6Any sample, prototype, pre-production sample, or digital rendering may require confirmation before mass production.
12.7Reasonable production variations between an approved sample and mass-produced goods may occur within normal manufacturing tolerances.
13Product Compliance and Intended Use
Destination-market requirements and product-specific compliance documents.
13.1Product regulatory requirements differ between countries and markets.
13.2The Buyer is responsible for determining whether a product is suitable and legally permitted for import, resale, distribution, marketing, or use in the Buyer's destination market unless otherwise agreed in writing.
13.3Any test report, certification, CE documentation, compliance statement, or other regulatory document applies only to the products, models, batches, or standards expressly identified in that document.
13.4The Buyer must not assume that every product displayed on the Website carries the same certification or regulatory approval.
13.5Where the Buyer requires a specific certification, standard, labeling requirement, age grading, warning, or testing requirement, the Buyer should notify us before confirming the order.

14.3We may restrict access, refuse service, or cancel a transaction where there is reasonable evidence of fraud, abuse, unauthorized access, sanctions risk, illegal activity, or other serious misconduct.
15Privacy and Data Use
Information used to support inquiries, orders and customer service.
15.1We may collect business and personal information reasonably necessary to respond to inquiries, prepare quotations, process orders, arrange payment, provide customer service, arrange shipping, maintain business records, and comply with applicable legal obligations.
15.2Information may include contact name, company or store name, email address, telephone number, shipping address, order details, communications, and payment-related transaction information.
15.3We will handle such information in accordance with our applicable Privacy Policy and applicable law.
15.4We may share information with service providers reasonably necessary to complete a transaction, including freight forwarders, carriers, banks, payment providers, IT providers, and professional advisers, subject to applicable requirements.
15.5We do not intentionally sell customer conversation data to advertisers.
16Website Availability and Third-Party Services
Website availability and independent third-party services.
16.1We aim to keep the Website available and accurate but do not guarantee uninterrupted or error-free access.
16.2The Website may occasionally be unavailable because of maintenance, hosting issues, network problems, security measures, software updates, or circumstances outside our control.
16.3The Website may contain links to third-party services where such links are legitimately used.
16.4Third-party websites and services are governed by their own terms and policies, and we are not responsible for their independent content, systems, or availability.

17.1To the maximum extent permitted by applicable law, the Website and general Website information are provided on an “as available” basis.
17.2Website descriptions, estimated shipping times, indicative prices, and general product information do not replace the specific written terms of a confirmed quotation or Proforma Invoice.
17.3We do not guarantee that every item displayed on the Website will remain available at all times.
17.4Nothing in these Terms excludes obligations or liabilities that cannot lawfully be excluded.
18Limitation of Liability

18.1To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, punitive, or consequential losses arising solely from use of the Website.
18.2For a product transaction, any liability will be assessed in light of the applicable order, the nature of the loss, the parties' written agreement, and applicable law.
18.3Except where prohibited by law or where liability arises from fraud, intentional misconduct, or another liability that cannot lawfully be limited, our aggregate liability arising from a specific order will not exceed the amount actually paid to us for the portion of the order giving rise to the claim.
18.4We are not responsible for delays, charges, losses, or delivery failures resulting from incorrect information supplied by the Buyer, unauthorized third-party actions, customs authorities, independent carriers, or events outside our reasonable control, except to the extent required by applicable law.

20.1These Terms and transactions with Huanmao Trading are generally governed by the laws of the People's Republic of China, subject to any mandatory law that cannot legally be excluded.
20.2The parties should first attempt to resolve any dispute through good-faith negotiation.
20.3If a separate quotation, Proforma Invoice, purchase contract, or written agreement contains a specific dispute-resolution clause, that clause will apply to the applicable transaction.
